- Reference is further made to the addendum announcement published on 26/09/1447H corresponding to 15/03/2026G, which stated MEFIC Capital's agreement with the different sellers to execute a sale and purchase agreement for real estate assets to acquire ownership of a property in Jeddah and a property in Makkah Al-Mukarramah, along with an agreement to renew the term of the Jazan property memorandum of understanding; the prior announcement's date on the Saudi Exchange website was noted as 1447-09-26 corresponding to 2026-03-15, with a link provided to view it.
- Regarding the Jeddah property: MEFIC Capital clarified that, with reference to the real estate assets sale and purchase agreement signed on 24/09/1447H corresponding to 13/03/2026G (the Jeddah Agreement), its parties agreed to amend certain of its provisions under an amendment agreement to the sale and purchase agreement (the Jeddah Property Amendment Agreement).
- Under the Jeddah Property Amendment Agreement, the price (as defined in the Jeddah Agreement) was amended to be paid in cash and in kind instead of in kind only, provided the fund manager fully covers the amount of the additional cash offering of the Fund's units.
- The Jeddah Property Amendment Agreement also amended the final date (as defined in the Jeddah Agreement) to be 22/10/2026G, or any other date agreed upon in writing by the parties.
- A new condition precedent to the effectiveness of the Jeddah Agreement was added under the Jeddah Property Amendment Agreement, stating that the fund manager must cover the amount of the additional cash offering of the Fund's units related to the real estate assets.
- Regarding the Makkah Al-Mukarramah property: with reference to the land sale and purchase agreement signed on 24/09/1447H corresponding to 13/03/2026G (the Makkah Al-Mukarramah Agreement), its parties agreed to amend certain of its provisions under an amendment agreement to the sale and purchase agreement (the Makkah Al-Mukarramah Property Amendment Agreement).
- The Makkah Al-Mukarramah Property Amendment Agreement provided for amending the final date defined in that agreement to be 22/10/2026G, or any other date agreed upon in writing by the parties.
- Regarding the Jazan property: agreement was reached with the potential seller of the Jazan property usufruct right to renew the term of the memorandum of understanding for 90 working days, ending on 22/10/2026G, with the term renewable by written agreement between the two parties.
- It was stated that the purpose of renewing the Jazan memorandum of understanding is to complete the study of the possibility of acquiring the usufruct right over a property located in Jazan with a total area estimated at 32,293.23 square meters.
- MEFIC Capital stated that it expects, upon completion of the transaction and the resulting increase in the Fund's total asset value, a positive impact on the Fund.
